1. Introduction and Acceptance of Terms
1.1. Agreement to Terms: These Terms of Service (the "Terms") constitute a legally binding agreement between WISEWIDE Inc. ("WISEWIDE," "we," "us," or "our") and you ("you," "your," or "User") regarding your use of WISEWIDE's mobile game application, related websites, and any other services provided by WISEWIDE (collectively, the "Service"). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1.2. Capacity to Accept: By using the Service, you represent and warrant that you have the legal capacity to enter into these Terms in your jurisdiction and that you are at least 18 years old or the age of majority in your jurisdiction, whichever is higher.
1.3. Scope of Terms: These Terms govern your use of the Service and any related content, functionality, and services offered on or through the Service, whether as a guest or a registered user.
1.4. Additional Terms: Your use of the Service may be subject to additional terms and conditions that may apply to specific portions of the Service ("Additional Terms"). In the event of a conflict between these Terms and any Additional Terms, the Additional Terms will control for that specific portion of the Service.
1.5. Non-Gambling Nature of Service: THE SERVICE IS STRICTLY FOR ENTERTAINMENT PURPOSES ONLY. THE SERVICE DOES NOT OFFER REAL MONEY GAMBLING OR AN OPPORTUNITY TO WIN REAL MONEY OR PRIZES. NO ACTUAL MONEY OR ANYTHING OF VALUE CAN BE WON PLAYING THE GAMES, AND NO ACTUAL MONEY IS REQUIRED TO PLAY.
1.6. Acceptance of Electronic Communications: By using the Service, you consent to receive communications from us electronically, including emails, texts, mobile push notices, or notices and messages on the Service. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
1.7. Updates to Terms: We may update these Terms from time to time. If we make material changes, we will notify you as required by applicable law. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
2. Definitions
2.1. "Account" means a user account created to access and use the Service.
2.2. "Content" means any information, text, graphics, photos, videos, or other materials uploaded, downloaded, or appearing on the Service.
2.3. "Game" means the mobile game application provided by WISEWIDE.
2.4. "Intellectual Property Rights" means all patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights and other intellectual property rights as may now exist or hereafter come into existence, and all applications therefore and registrations, renewals and extensions thereof, under the laws of any state, country, territory or other jurisdiction.
2.5. "User Content" means any Content that a user submits, posts, or transmits to, through, or in connection with the Service.
2.6. "Virtual Items" means virtual in-game items, including but not limited to virtual currency, that can be purchased or earned through gameplay.
2.7. "Third-Party Platforms" refers to platforms such as Facebook, Google, Apple, and other similar services through which WISEWIDE may offer the Service.
3. Service Description
3.1. Game Overview: WISEWIDE provides a mobile game where players can explore uncharted seas, engage in battles with pirates and monsters, trade with competitors, and build their own island empires. The main gameplay mechanics involve a slot machine system, allowing players to spin and earn coins (in-game currency).
3.2. Key Features: The Service includes, but is not limited to, the following features: a) Spin mechanic to earn coins (in-game basic currency, gold coins) b) Attacking friends and enemies to obtain loot c) Counterattacks and revenge mechanisms d) Trading with competitors to sell goods and increase profits e) Card collection through various explorations to complete albums f) Cooperative gameplay to defeat sea monsters and obtain treasures and rewards g) Development of uninhabited islands as bases h) Acquisition and upgrade of various ships to increase power i) Competitive gameplay against other players for rewards
3.3. Game Objectives: The ultimate goal of the game is to become the master of the seas by expanding your influence, developing your island base, and competing with other players.
3.4. Service Availability: WISEWIDE reserves the right to modify, update, or discontinue the Service, in whole or in part, at any time without notice.
3.5. Technical Requirements: You are responsible for obtaining and maintaining all equipment and services needed for access to and use of the Service and for all charges related thereto.
3.6. Beta Testing: WISEWIDE may offer beta versions of the Service. By participating in beta testing, you acknowledge that the Service may contain bugs, errors, and other problems and agree to report any issues to WISEWIDE promptly.
3.7. Updates and Maintenance: WISEWIDE may from time to time develop patches, bug fixes, updates, upgrades and other modifications to improve the performance of the Service. You agree that WISEWIDE may update the Service with or without notifying you.
4. Eligibility and Registration
4.1. Age Restriction: The Service is intended for use by individuals who are at least 18 years old or the age of legal majority in their jurisdiction, whichever is higher. By using the Service, you represent and warrant that you meet this age requirement.
4.2. Geographical Restrictions: The Service may not be available in all jurisdictions. You may only use the Service if it is legal to do so in your jurisdiction. Some regions may be excluded from service due to local laws, service conditions, or other considerations.
4.3. Compliance with Laws: You are solely responsible for ensuring that these Terms are in compliance with all laws, rules and regulations applicable to you and the right to access the Service is revoked where these Terms or use of the Service is prohibited or conflicts with any applicable law, rule or regulation.
4.4. Right to Refuse Service: WISEWIDE reserves the right, in its sole discretion, to refuse to offer the Service to any person or entity and to change its eligibility criteria at any time.
4.5. Accurate Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
4.6. Prohibited Users: You may not use the Service if you have previously been removed from the Service by WISEWIDE or if you are barred from using the Service under applicable law.
4.7. Verification: WISEWIDE reserves the right to verify your eligibility at any time and to request proof of age or identity.
5. User Accounts
5.1. Account Creation: To access certain features of the Service, you may be required to create an Account. You can create an Account by: a) Connecting your Facebook, Google, or Apple account to our Game b) Following the account creation process provided in the Game (e.g., using the Guest Login button on the title screen to automatically create an account)
5.2. Account Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You acknowledge that if any information provided by you is untrue, inaccurate, not current or incomplete, we reserve the right to terminate these Terms and your use of the Service.
5.3. Account Security: You are responsible for maintaining the confidentiality of your Account login information and for all activities that occur under your Account. You agree to immediately notify WISEWIDE of any unauthorized use of your Account or any other breach of security. WISEWIDE will not be liable for any loss or damage arising from your failure to comply with this provision.
5.4. One Account Per User: You may only create and hold one Account. WISEWIDE reserves the right to terminate, suspend, or restrict access to any Account that is a duplicate or backup Account.
5.5. Account Non-Transferability: You may not sell, trade, gift, or otherwise transfer your Account to another party. Any attempt to do so will be null and void and may result in the termination of your Account.
5.6. Termination of Account: WISEWIDE reserves the right to terminate your Account or your access to all or part of the Service for any or no reason, at any time, with or without notice.
5.7. Account Recovery: If you forget your Account information, WISEWIDE may, in its sole discretion, provide a method for you to recover your Account. However, WISEWIDE is not obligated to provide such methods and is not responsible for any loss of data or inability to access your Account.
5.8. Inactive Accounts: WISEWIDE reserves the right to terminate Accounts that have been inactive for an extended period, as determined by WISEWIDE in its sole discretion.
6. User Conduct and Prohibited Activities
6.1. Compliance with Laws and Terms: You agree to comply with all applicable laws, regulations, and these Terms when using the Service.
6.2. Prohibited Activities: When using the Service, you agree not to:
a) Use the Service for any illegal purpose or in violation of any local, state, national, or international law;
b) Violate or encourage others to violate the rights of third parties, including intellectual property rights;
c) Post, upload, or distribute any Content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem to be objectionable, profane, indecent, pornographic, harassing, threatening, hateful, or otherwise inappropriate;
d) Interfere with security-related features of the Service, including by: (i) disabling or circumventing features that prevent or limit use or copying of any content; or (ii) reverse engineering or otherwise attempting to discover the source code of any portion of the Service except to the extent that the activity is expressly permitted by applicable law;
e) Interfere with the operation of the Service or any user's enjoyment of the Service, including by: (i) uploading or otherwise disseminating any virus, adware, spyware, worm, or other malicious code; (ii) making any unsolicited offer or advertisement to another user of the Service; (iii) collecting personal information about another user or third party without consent; or (iv) interfering with or disrupting any network, equipment, or server connected to or used to provide the Service;
f) Perform any fraudulent activity including impersonating any person or entity, claiming a false affiliation, accessing any other Account without permission, or falsifying your age or date of birth;
g) Sell or otherwise transfer your Account;
h) Attempt to obtain passwords or other private information from other users;
i) Exploit, distribute, or publicly inform other users of any game error, miscue, or bug which gives an unintended advantage;
j) Violate any applicable laws or regulations, or promote or encourage any illegal activity including, but not limited to, hacking, cracking or distribution of counterfeit software, or cheats or hacks for the Service;
k) Create false personas or multiple Accounts;
l) Use any unauthorized third-party software that accesses, intercepts, "mines," or otherwise collects information from or through the Service;
m) Use or distribute unauthorized "auto" software programs, "macro" software programs or other "cheat utility" software programs or applications;
n) Attempt to gain unauthorized access to the Service, Accounts registered to others, or to the computers, servers, or networks connected to the Service by any means other than the user interface provided by WISEWIDE;
o) Use the Service in any manner that could interfere with, disrupt, negatively affect or inhibit other users from fully enjoying the Service or that could damage, disable, overburden or impair the functioning of the Service in any manner.
6.3. Monitoring and Enforcement: WISEWIDE reserves the right to:
a) Remove or refuse to post any User Content for any or no reason in our sole discretion;
b) Take any action with respect to any User Content that we deem necessary or appropriate in our sole discretion, including if we believe that such User Content violates these Terms, infringes any Intellectual Property Right or other right of any person or entity, threatens the personal safety of users of the Service or the public, or could create liability for WISEWIDE;
c) Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their Intellectual Property Rights or their right to privacy;
d) Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Service;
e) Terminate or suspend your access to all or part of the Service for any or no reason, including without limitation, any violation of these Terms.
6.4. Consequences of Violation: Failure to comply with this Section 6 may result, without limitation, in termination or suspension of your Account and your access to the Service. You acknowledge that WISEWIDE is not required to provide you notice before terminating or suspending your Account and/or access to the Service, but it may choose to do so.
7. Virtual Items and Game Currency
7.1. Virtual Items: The Service may include an opportunity to purchase or earn virtual, in-game digital items ("Virtual Items"). You understand that you have no right or title in Virtual Items other than the extent of your limited license (see Section 9.2).
7.2. License to Virtual Items: Virtual Items are licensed, not sold, to you. When you acquire a Virtual Item, you receive a limited, personal, non-transferable, non-sublicensable, revocable license to use that Virtual Item within the Service and solely for your personal, non-commercial entertainment purposes.
7.3. Purchases: All purchases of Virtual Items are final and non-refundable, except as expressly provided in these Terms or required by applicable law. WISEWIDE reserves the right to manage, regulate, control, modify, or eliminate Virtual Items at any time, with or without notice. WISEWIDE shall have no liability to you or any third party if WISEWIDE exercises such rights.
7.4. No Real-World Value: Virtual Items are not redeemable for any sum of money or monetary value from WISEWIDE at any time. You agree that WISEWIDE has the absolute right to manage, regulate, control, modify, and/or eliminate such Virtual Items as it sees fit in its sole discretion, and that WISEWIDE will have no liability to you for doing so.
7.5. No Trading or Transfer: You may not trade, sell, gift, exchange, transfer, purchase, or otherwise obtain Virtual Items from anyone other than WISEWIDE. Any attempt to do so is in violation of these Terms and will result in the immediate termination of your Account and forfeiture of your Virtual Items.
7.6. Forfeiture: If WISEWIDE suspends or terminates your Account, you will forfeit all Virtual Items associated with that Account without compensation.
7.7. Pricing and Availability: WISEWIDE reserves the right to change the pricing and availability of Virtual Items at any time, for any reason, without notice or liability to you.
7.8. Virtual Currency: Any virtual currency used in the Game has no monetary value and does not constitute currency or property of any type. Virtual currency cannot be redeemed for real money, goods, or any other item of monetary value. You acknowledge that virtual currency is not transferable to any third party and that WISEWIDE is not obligated to recognize any purported transfers of virtual currency.
7.9. Expiration and Loss: Unless otherwise specified, Virtual Items and virtual currency will not expire and will not be taken away from you except as set forth in these Terms or as required by applicable law.
8. Payments, Billing, and Cancellation
8.1. Payment: If you choose to purchase Virtual Items, you agree to pay all applicable fees. WISEWIDE may change the price of Virtual Items at any time without notice. All charges are due and payable immediately, are non-refundable except as expressly set forth in these Terms, and are exclusive of any applicable taxes.
8.2. Third-Party Payment Processors: All financial transactions made in connection with the Service will be processed by a third-party payment processor. You agree to abide by that third party's terms and conditions for all such transactions.
8.3. Payment Method: When you purchase Virtual Items or make any other payment in connection with the Service, you will be asked to provide customary billing information such as your name, billing address, and payment information. You agree to pay WISEWIDE for all purchases made by you or anyone using your Account, and you hereby authorize WISEWIDE to charge your chosen payment method for any such purchases.
8.4. Authorization for Recurring Payments: If you choose to purchase any subscription-based service within the Game, you hereby authorize WISEWIDE to charge the payment method you provide on a recurring basis until you cancel the subscription.
8.5. Refund Policy: All sales are final and no refunds will be made except as expressly provided in this Agreement or as required by applicable law. Refund requests should be made directly to the third-party platform through which the purchase was made.
8.6. Billing Disputes: You agree to notify WISEWIDE about any billing problems or discrepancies within 30 days after they first appear on your account statement. If you do not bring them to WISEWIDE's attention within 30 days, you agree that you waive your right to dispute such problems or discrepancies.
8.7. Taxes: You are responsible for paying any applicable taxes associated with your purchase of Virtual Items or other services through the Service.
8.8. Price Changes: WISEWIDE reserves the right to change its prices at any time. If we change the prices of any existing subscription plans, we will provide notice of the change on the Service or in email to you at least 30 days before the change is to take effect.
9. Intellectual Property Rights
9.1. Ownership: The Service, including its "look and feel" (e.g., text, graphics, images, logos), proprietary content, information and other materials, is protected under copyright, trademark, patent, and other intellectual property laws. You agree that WISEWIDE and/or its licensors own all right, title, and interest in and to the Service (including any and all intellectual property rights therein) and you agree not to take any action(s) inconsistent with such ownership interests.
9.2. Limited License: We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial use. This license is conditioned on your continued compliance with these Terms.
9.3. Restrictions: You may not: a) Copy, modify, or create derivative works based on the Service; b) Distribute, publicly display, publicly perform, or otherwise make the Service available to any third party; c) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service; d) Remove, alter, or obscure any copyright, trademark, or other proprietary rights notice on or in the Service.
9.4. Feedback: If you provide WISEWIDE with any feedback or suggestions regarding the Service ("Feedback"), you hereby assign to WISEWIDE all rights in such Feedback and agree that WISEWIDE shall have the right to use and fully exploit such Feedback in any manner it deems appropriate. WISEWIDE will treat any Feedback you provide as non-confidential and non-proprietary.
9.5. Copyright Infringement: If you believe that any Content on the Service infringes upon your copyright, please notify us by email at help@wisewide.com. Your notice should include: (a) a description of the copyrighted work that you claim has been infringed; (b) the URL where the allegedly infringing Content is located; (c) your full name, postal address, telephone number, and email address; (d) a statement that you have a good faith belief that the use of the allegedly infringing material on our Service is not authorized; and (e) a statement that you are the copyright owner or an authorized agent of the copyright owner.
10. User Content
10.1. User Content: Our Service does not allow users to generate or submit any User Content.
11. Third-Party Platforms and Services
11.1. Third-Party Platforms: The Service may be made available through third-party platforms such as Facebook, Apple App Store, or Google Play Store. Your use of the Service through these platforms is subject to the terms, conditions, and policies of these third-party platforms in addition to these Terms. You acknowledge that WISEWIDE is not responsible for any aspect of a third-party platform.
11.2. Links to Third-Party Services: The Service may contain links to third-party websites or services. WISEWIDE is not responsible for the content or functioning of any third-party websites or services. The inclusion of any such links does not imply WISEWIDE's endorsement of them. Your use of third-party websites or services is at your own risk and subject to the terms and conditions of use for such websites or services.
11.3. Interactions with Other Users: Your interactions with other users of the Service, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and the other user. You agree that WISEWIDE is not responsible or liable for any loss or damage of any sort incurred as the result of any such dealings.
11.4. Third-Party Integrations: The Service may be integrated with third-party applications, websites, and services ("Third-Party Integrations") to make available content, products, and/or services to you. These Third-Party Integrations may have their own terms and conditions of use and privacy policies and your use of these Third-Party Integrations will be governed by and subject to such terms and conditions and privacy policies.
12. Privacy and Data Protection
12.1. Privacy Policy: Your use of the Service is subject to WISEWIDE's Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy, which explains how we collect, use, and disclose information about you.
12.2. Data Collection and Storage: WISEWIDE collects and stores certain game-related information, including game identifiers, game statistics, in-game activity, game settings, operating system information, browser or app version, mobile carrier, location, language settings, user activity, and purchase information. This information is stored on third-party cloud servers located in New Jersey, United States.
12.3. Access to Data: Access to the information collected by WISEWIDE is strictly limited to WISEWIDE employees located in Korea. WISEWIDE implements appropriate technical and organizational measures to protect your personal data against unauthorized or unlawful processing and against accidental loss, destruction, damage, alteration, or disclosure.
12.4. Data Retention: WISEWIDE will retain your personal data only for as long as is necessary for the purposes set out in the Privacy Policy. We will retain and use your personal data to the extent necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.
12.5. Your Rights: Depending on your jurisdiction, you may have certain rights regarding your personal data, such as the right to access, correct, or delete your personal data. Please refer to our Privacy Policy for more information on how to exercise these rights.
12.6. Cookies and Tracking Technologies: WISEWIDE and its partners may use cookies or similar tracking technologies to analyze trends, administer the Service, track users' movements around the Service, and gather demographic information about our user base as a whole. You can control the use of cookies at the individual browser level, but if you choose to disable cookies, it may limit your use of certain features or functions on our Service.
13. Disclaimers and Limitations of Liability
13.1. Disclaimer of Warranties: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WISEWIDE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
13.2. Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WISEWIDE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THIS SERVICE.
13.3. Cap on Liability: WISEWIDE'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO WISEWIDE FOR THE SERVICE DURING THE TERM OF YOUR USE OF THE SERVICE.
13.4. Exclusions: Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.
13.5. Basis of the Bargain: You acknowledge and agree that WISEWIDE has offered the Service and entered into these Terms in reliance upon the warranty disclaimers and limitations of liability set forth herein, which reflect a reasonable and fair allocation of risk between the parties and form an essential basis of the bargain between us.
14. Indemnification
You agree to indemnify, defend, and hold harmless WISEWIDE, its affiliates, officers, directors, employees, consultants, agents, and representatives from any and all third-party claims, losses, liability, damages, and/or costs (including reasonable attorney fees and costs) arising from your access to or use of the Service, your violation of these Terms, or your infringement of any intellectual property or other right of any person or entity. WISEWIDE reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with WISEWIDE in asserting any available defenses.
15. Term and Termination
15.1. Term: These Terms will remain in full force and effect while you use the Service.
15.2. Termination by You: You may terminate your Account at any time, for any reason, by following the instructions within the Service or by contacting us at help@wisewide.com. Termination of your Account may not result in the deletion of Content you have posted on the Service.
15.3. Termination by WISEWIDE: WISEWIDE may terminate or suspend your Account and your access to the Service at any time, for any reason, and without advance notice. WISEWIDE may also impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability.
15.4. Effect of Termination: Upon termination of your Account, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
15.5. No Refunds: You understand and agree that if your Account is terminated by WISEWIDE or by you, you will not receive any refund for any unused time on a subscription, any license or subscription fees, any content or data associated with your Account, or for anything else.
16. Dispute Resolution and Governing Law
16.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions.
16.2. Dispute Resolution: Any dispute arising out of or relating to these Terms or the Service shall be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiations, it shall be submitted to the exclusive jurisdiction of the courts of Seoul, Korea.
16.3. Class Action Waiver: Any proceedings to resolve or litigate any dispute in any forum will be conducted solely on an individual basis. Neither you nor WISEWIDE will seek to have any dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity.
16.4. Time Limitation on Claims: You agree that any claim you may have arising out of or related to your relationship with WISEWIDE must be filed within one year after such claim arose; otherwise, your claim is permanently barred.
17. Modifications to the Service and Terms
17.1. Modifications to the Service: WISEWIDE reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that WISEWIDE will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.
